1. What we will do
We deliver the work described in the proposal: the scope, deliverables, timeline and price you agreed to in writing. Anything not listed in the proposal is outside the scope. We will tell you before we do anything that is outside it.
2. Changes
Plans change, and that is fine. If you want to add, remove or change something, we will send a short change note with the effect on time and cost. Work on the change starts once you approve the note in writing (email is enough). Small changes that fit inside the agreed time are absorbed without a note.
3. What we need from you
- Content, access, decisions and feedback within the times set out in the proposal, or within five working days if no time is set.
- One named person who can approve work on your side.
- Accounts in your own name for anything you will own: domains, hosting, app store accounts, payment providers, analytics and ad accounts.
If something we need arrives late, the timeline moves by the same amount. If a project is paused on your side for more than 30 days, we may reschedule it to the next free slot.
4. Fees and payment
- Fees, the deposit and the payment schedule are set out in the proposal. Work starts when the deposit is received.
- Invoices are due within the time stated on the invoice, or 7 days if none is stated.
- If an invoice is more than 14 days overdue, we may pause work until it is paid. The timeline moves accordingly.
- Retainers and plans are billed monthly in advance.
- Prices exclude taxes (such as GST or VAT), which are added where they apply, and exclude third-party costs (section 6).
5. Who owns what
- Once the project is paid in full, you own the work we create for you: code, designs, written content and documents, along with the accounts set up in your name.
- Until then, you may use the work for review and testing only.
- We keep ownership of our own general tools, templates, know-how and code we wrote before your project or use across clients. Where any of that is part of your deliverable, you get a permanent, royalty-free licence to use and change it for your business.
- Open-source components stay under their own licences, which allow commercial use. We will tell you if any component carries conditions you should know about.
- We may mention you as a client and show the work in our portfolio unless you ask us not to. Confidential details are never shown.
6. Third-party services and costs
Hosting, domains, software subscriptions, plugins, app store fees, payment provider fees, AI or API usage and advertising spend are paid by you, directly to the provider, unless the proposal says otherwise. Their terms, prices and availability are set by them, and we are not responsible for their changes or outages. We will tell you about expected running costs before you commit.
7. Results we cannot promise
We work hard for good outcomes, but some results depend on things outside our control. We do not guarantee search rankings, traffic, sales, ad performance, investment, app store approval or approval by any authority. What we do promise is the work in the proposal, done with care, and an honest account of what is and is not working.
8. Fixing problems
If something we built does not work as described in the proposal, tell us within 30 days of handover and we will fix it at no charge. This does not cover problems caused by later changes made by others, third-party updates, misuse, or new requirements. After 30 days, fixes are covered by a care plan or charged at our usual rates.
9. Confidentiality
We keep your confidential information private and use it only to do the work. You do the same for ours, including our pricing and methods. This lasts for three years after the project ends, and indefinitely for personal data and trade secrets. We are happy to sign your non-disclosure agreement as well.
10. Personal data
If our work involves personal data you control, we handle it only on your instructions and with appropriate security. We can sign a data processing agreement on request. Our privacy policy explains how we handle data on this website.
11. Our team
We may involve vetted specialists from our network to deliver parts of a project. They work under our direction, under confidentiality and ownership terms at least as strict as these, and we remain responsible to you for their work. If you would like to hire a member of the team directly during the project or within 12 months after it, please talk to us first. That is usually easy to arrange, and a placement fee may apply.
12. Ending the work
- Either of us may end a project with 14 days’ written notice. Retainers and plans can be ended with 30 days’ written notice.
- You pay for work done up to the end date and for any third-party costs already committed. The deposit covers time reserved for your project and is not refundable once work has started.
- Either of us may end the agreement immediately if the other seriously breaks these terms and does not fix it within 14 days of being told.
- When the work ends and is paid for, we hand over everything you own (section 5).
13. Responsibility and limits
Our total responsibility to you for any claim connected with a project is limited to the fees you paid us for that project in the 12 months before the claim. Neither of us is responsible for indirect losses such as lost profits, lost data that was not backed up, or lost opportunities. Nothing in these terms limits responsibility that cannot be limited by law, such as for fraud.
14. Things outside anyone’s control
Neither of us is responsible for delays caused by events beyond reasonable control, such as natural disasters, wide outages of major platforms, or government action. We will tell each other quickly and agree a new plan.
15. Disagreements and law
If something goes wrong, tell us and we will try to fix it quickly and in good faith. If we cannot agree within 30 days, either of us may take it further. These terms are governed by the laws of India, and the courts in Nashik, Maharashtra have jurisdiction, unless your proposal says otherwise.
16. General
These terms, with your proposal, are the whole agreement between us for the work. Changes must be in writing. If part of these terms cannot be enforced, the rest still applies. We may update these terms for future work; the version that applies is the one in force when you accepted your proposal.
